Terms and conditions of INDUSCO Solution online shop from 18 June 2018

    1. Definitions

      These definitions in the Terms and Conditions have the following meaning:

      1. Client – any natural or legal person or an organizational entity without legal personality, whom the Act grants legal capa city, who makes an Order in the Online shop;
      2. Consumer – in line with Article 22 of the Civil Code this means a natural person who enters into a legal transaction with the business owner for the purpose not directly attributable to their business or professional activity.
      3. Civil Code – the Act of 23 April 1964 r. (Journal of Law No 16, item 93 as amended);
      4. The Terms and Conditions – these Terms and Conditions of providing services by electronic means through the INDUSCO Solution online shop;
      5. The Online shop (the Shop) – the online service available at www.induscosolution.com through which the Client may in particular make Orders;
      6. Sales agreement – an agreement of selling Goods as understood in the Civil Code, made between the entity who runs the online shop: INDUSCO Solution Sp z o.o., ul. Spacerowa 56, 83-010 Straszyn, NIP number 6040167755, KRS number 0000586453, the Disctrict Court Gdańsk-Północ in Gdańsk, VII Economic Division of the National Court Register, REGON number 362993756 and the Client, concluded by using the online Shop service;
      7. Consumer Rights Act – the Act of 30 May 2014 r. on consumer rights (Journal of Law from 2014, item 827);
      8. Act on Rendering Electronic Services – the Act of 18 July 2002 on rendering services by electronic means (Journal of Law No. 144, item 1204 as amended);
      9. The Order – a declaration of the Client’s will leading directly to concluding a sales agreement, which particularly defines the type and number of Goods.
    2. General provisions
      1. These Terms and Conditions define the rules of using the online shop available at www.induscosolution.com.
      2. These Terms and Conditions constitute regulations which are mentioned in Article 8 of the Act on Rendering Electronic.
      3. www.induscosolution.com is run by INDUSCO Solution Sp z o.o., ul. Spacerowa 56, 83-010 Straszyn, NIP number 6040167755, KRS number span> 0000586453, the Disctrict Court Gdańsk-Północ in Gdańsk, VII Economic Division of the National Court Register, REGON number 362993756.
      4. These Terms and Conditions define in particular:
        1. the terms of registering and using an account in the online shop system;
        2. the conditions and rules of making electronic Orders in the online shop system;
        3. the rules of concluding sales agreements through the services used by the online shop system.
      5. Using the online shop system is possible providing that the computer system used by the Client meets the following minimum technical requirements:
        1. Internet Explorer 8.0 or higher version with JavaScript support and cookies enabled, or
        2. Mozilla Firefox 22.0 or higher version with JavaScript support and cookies enabled, or
        3. Google Chrome 28.0 or higher version with JavaScript support and cookies enabled
        4. minimum 1024 x 768 pixel display resolution
      6. To use the online shop system the Client should get access to a computer workstation or a terminal equipment with Interent acces for his own needs.
      7. According to the applicable legal regulations INDUSCO Solution Sp. z o.o. reserves the right to restrict the provision of services through the Online shop to individuals who are 18 years old or older. In such a case the potential Clients shall be notified of the fact.
      8. Clients may access these Terms and Conditions at any time with the use of the link located at the home page of www.induscosolution.com download it and make a print-out..
    3. Terms of using the Online shop
      1. The condition for using the Online shop is registering an account in the online shop system.
      2. Registration is done by filling out and accepting our registration form, available on one of the subpages of the Shop.
      3. The condition for registering is accepting the Terms and Conditions and providing all personal data marked as mandatory.
      4. INDUSCO Solution Sp. z o.o. may withdraw the Client’s right to use the Online shop, as well as restrict their access to some or all Online shop resources with immediate effect in the event the Client violates the Terms and Conditions, and particularly when the Client:
        1. at registration to the Online shop system provided false, inadequate or outdated information which are misleading or which breach the rights of third parties,
        2. violated personal rights of third parties with the use of the Online shop, in particular personal rights of other clients of the Online shop,
        3. displays other types of behavior which shall be recognized by INDUSCO Solution Sp. z o.o. as incompatible with the applicable legal regulations or general rules of using the Internet, or harmful to the good reputation of INDUSCO Solution Sp. z o.o.
      5. An individual whose right to use the Online shop was withdrawn cannot make a new registration without prior consent from INDUSCO Solution Sp. z o.o.
      6. To ensure secure transfer of messages and data related to tthe services provided within the website, the Online shop takes technical and organizational measures adequate to the level of threat posed to the security of the provided services, in particular measures which serve to prevent personal data transferred online to be obtained and modified by unauthorized individuals. .
      7. The Client is particularly obligated to:
        1. not provide and submit contents which are forbidden by the regulation of the law, e.g. content which promotes violence, defamatory or violating the personal rights and other rights of third parties,
        2. use the Online shop in such a way as not to interfere with its operations, in particular by using the specified software or equipment,
        3. not take such actions as: sending or placing in the Online shop unsolicited trade information (spam),
        4. use the Online shop in a way which is not troublesome to other clients and to INDUSCO Solution Sp. z o.o.,
        5. use all information provided in the Online shop only for their own personal use,
        6. use the Online shop in a way which is in line with the legal regulations applicable in the territory of the Republic of Poland, the provisions of these Terms and Conditions, as well as with the general rules of using the Internet.
    4. The procedure of concluding the Sales agreement
      1. Information about the Goods provided on the subpages of the Online shop, and particularly the descriptions of the Goods, their technical specification and performance details and prices constitute an invitation to enter into an agreement as understood by Article 71 of the Civil Code.
      2. In order to conclude the Sales agreement through the Online shop you must enter the website www.induscosolution.com, make your choice by taking subsequent technical steps based on the messages displayed to the Client and the information available at the website.
      3. The choice of Goods ordered by the Client is made by adding the Goods to the cart.
      4. When placing the Order – up until the moment of clicking a proper button, e.g. ‘I am ordering and am obligated to pay’ or another button synonymously informing about the obligation to pay – the Client has the option to modify all previously entered data and the selected Goods. To do that they should follow the messages displayed to the Client and the information available on the website.
      5. Upon providing all necessary data by the Client using the Online shop, a summary of the placed Order will be displayed. The summary of the placed Order will include information about:
        1. the subject of the order,
        2. price per unit and total price of the ordered products or services, including the shopping costs and other costs (if applicable),
        3. the selected means of payment,
        4. the selected means of delivery,
        5. delivery time,
        6. the selected delivery address
      6. To send the Order it is necessary to accept the Terms and Conditions, provide personal data marked as mandatory and click the button ‘I am ordering and am obligated to pay’.
      7. Sending the Order by the Client constitutes their declaration of will to conclude a sales agreement with INDUSCO Solution Sp. z o.o. in line with the Terms and Conditions.
      8. After placing the Order the Client will receive an e-mail with the subject ‘induscosolution – Confirmation of receiving an order no. […],’ which includes a confirmation of all the important elements of the Order.
      9. The agreement is deemed as concluded upon receiving the above mentioned e-mail by the Client.
      10. The sales agreement is concluded in Polish and its content is in compliance with the Terms and Conditions.
      11. Clients may access these Terms and Conditions at any time with the use of the link located at the home page of www.induscosolution.com, download it and make a print-out.
      12. Preserving, securing and making available the Order details and the General Terms (terms and conditions of the online shop) is done through the electronic mail.
    5. Shipment
      1. Shipment of Goods is limited to the territory of the Republic of Poland and the Goods will be delivered to the address indicated by the Client when placing the Order.
      2. Shipment of the ordered Goods is done with the use of courier services in the form of a parcel or palatalized shipment. The shipment costs are available at http://www.induscosolution.com/Shipment-cterms-pol-14.html. Shipment costs will also be detailed when placing the Order.
      3. The delivery date is between 1 and 2 working days from the day of sending the Order by the Client. This does not apply to goods manufactured or imported on demand.
    6. Prices and methods of payment
      1. The prices of Goods are provided in Polish zloties (PLN) and include all components , as well as VAT (with the indication of the level of the tax), custom duty and all other components.
      2. The Client has an option to make the payment in the form of:
        1. a bank transfer to the bank account number PL86 1090 1098 0000 0001 3164 5942 in Bank Zachodni WBK S.A.,
        2. a PayPal payment,
        3. cash in the case of personal collection and cash for the courier when choosing the ‘cash on delivery’ payment method.
    1. The right to withdraw from the agreement
      1. Only Clients who are simultaneously Consumers have the right to withdraw from the agreement within 14 days from concluding the agreement. Consumers have the right to withdraw from the agreement within 14 days from concluding it without giving the cause. The withdrawal period expires 14 days after the Client receives the goods ordered in the online shop at www.induscosolution.com
      2. To use the right of withdrawal you must inform us about your decision to withdraw from the agreement in question by means of a clear and straightforward declaration (for ex ample by sending a written declaration by mail or by e-mail).
      3. You may use a sample form of withdrawal from the agreement, yet this is not mandatory. The form is available at http://www.induscosolution.com/Odstapienie-od-umowy-cterms-pol-21.html
      4. To meet the deadline for withdrawing from the agreement it is enough for you to send us the information about exercising your right to withdraw from the agreement before the period for withdrawing from the agreement expires.
    2. The effects of withdrawing from the agreement
        1. In the event you withdraw from this agreement we return all payments received from you, including the costs of shipping the goods (except for additional costs resulting from your choice of shipment other than the regular lowest cost shipment offered by us) immediately and in any event no later than 14 days from the day we were informed about your decision to exercise your right to withdraw from the agreement. The payment will be returned with the use of the same means of payment which were used by you in the original transaction, unless you clearly agreed to apply a different solution; in any event you will not bear any costs related to the return of money.
        2. M2. We may withhold the return of money until we receive the goods in question or we are provided with a proof of the goods being shipped back to us, depending on which of these events happens earlier.

        3. The costs of sending the purchased goods back to INDUSCO Solution Sp. z o.o. will be suffered by the Client. The Client is responsible for any decrease in the value of the purchased goods which is the result of the product being used in a way other than necessary to determine the nature, features and functionality of the product. .

  1. Complaints related to the Goods
    1. As the seller INDUSCO Solution Sp. z o.o. is liable towards the Client who is a Consumer as understood by Article 22[1] of the Civil Code under the warranty for all faults to the extent specified in the Civil Code, particularly in Article 556 and Article 556[1] to 556[3] and subsequent articles of the Civil Code.
    2. All complaints connected with violating the rights guaranteed by law or on the basis of these Terms and Conditions should be sent to dorota@induscosolution.pl. INDUSCO Solution Sp. z o.o. undertakes to handle each complaint within 14 days. Failure to handle a complaint within this period means the complaint will be treated as valid.
    3. INDUSCO Solution Sp. z o.o. is the manufacturer of part of the products available in the online shop. The manufacturer is liable under the guarantee covering the sold Goods under the conditions and for the period indicated in the warrantee details. If the warrantee allows for the possibility, the Client may file their claims under the guarantee directly to INDUSCO Solution Sp. z o.o. or in case of goods not produced by the company, in the authorized service with the address indicated in the warranty.
  2. Complaints related to providing electronic services.
    1. INDUSCO Solution Sp. z o.o. takes action in order to ensure that the Online shop functions property in the respect that results from the current state of the art and undertakes to eliminate in a reasonable time frame all occurrences of improper functioning reported by the Clients.
    2. The Client is obligated to immediately notify INDUSCO Solution Sp. z o.o. o about all irregularites or break in the operation of the Online shop.
    3. Irregularites related to the functioning of the Shop should be reported by the Client in writing to: INDUSCO Solution Sp. z o.o. ul. Spacerowa 56, 83-010 Straszyn, by e-mail to rafal@induscosolution.pl or with the use of contact data available at http://www.induscosolution.com/contact-pol.html.
    4. In the complaint the Client should provide their name and surname, their address to further correspondence, the type of irregularity related to the functioning of the Shop and the day on which it occurred.
    5. INDUSCO Solution Sp. z o.o. undertakes to handle each complaint within 14 days. Failure to handle a complaint within this period means the complaint will be treated as valid.
  3. Settling disputes and final provisions
    1. The Client who is a Consumer may use extra-judicial means of handling complaints and filing claims if he is interested to do so. All disputes connected with online purchases may be settled by means of a mediation proceedings before the Regional Inspectorate of Trade Inspection or legal proceedings before arbitration court at the Regional Inspectorate of Trade Inspection. The Consumer may also use other means of extra-judicial settlement of disputes and e.g. file their own complaint with the use of an Online Dispute Resolution platform available at http://ec.europa.eu/consumers/odr/
    2. In the event the Consumer is not interested in the opportunity to use extra-judicial means of settling their dispute, all potential disputes arising between INDUSCO Solution Sp. z o.o. and the Client who is not a Consumer at the same time according to the provisions of the relevant regulations of the Code of Civil Procedures. .
    3. The settlement of potential disputes arising between INDUSCO Solution Sp. z o.o. and the Client who is not at the same time a Consumer shall be carried by the court having jurisdiction over the seat of INDUSCO Solution Sp. z o.o.
    4. To all matters not covered by these Terms and Conditions the regulations of the Civil Code and the Act on providing electronic services, as well as other relevant provisions of the Polish law shall apply.
